Esraa Abdelmoniem

Esraa’s practice focuses on the Capital Markets and M&A. She has advised multiple multinational clients on public and private M&A transactions in Egypt (acting for buyers and sellers) relating to Life Sciences, Telecommunications, FMCGs, TMT and Banking sectors, including Sanofi, Dell Technologies Inc., Vodaphone Group, FrieslandCampina, Americana, Nestle, Saham Group, Attijariwafa bank, Société Générale and EFG Hermes.

Esraa also advises several financial institutions and regulatory bodies on their capital market operations, including the Egyptian Ministry of Finance, LetterOne Technology, EFG Hermes, Proparco, EBRD and IFC.

Esraa was seconded to a number of S&S clients and relationship firms to work amongst their teams, including Slaughter and May, London in April 2015, EFG Hermes, Cairo in 2017, 2019 and Allen & Overy, Abu Dhabi for three months in 2020.

Esraa was recognized in 2021 by The Legal 500 as a “Recommended Lawyer” for commercial, corporate and M&A.

• Advising the European Bank for Reconstruction and Development “EBRD”, Islamic Development Bank (IsDB) and Islamic Corporation for the Development of the Private Sector (ICD) as the original lenders on this innovative refinancing.
• Advising Vodafone Group on the potential sale of its shares in Vodafone Egypt to Vodacom Limited (Vodafone’s listed subsidiary on Johannesburg stock exchange)
• Advising STMicroelectronics, a global semiconductor leader serving customers across the spectrum of electronics applications on the Egyptian law aspects of its acquisition of IoT connectivity tech developer Riot Micro, including its chip design operations in Egypt.
• Advising Dell Technologies Inc. on the sale of its legacy security firm RSA to a consortium of investors led by Symphony Technology Group.
• Advising EFG Hermes Private Equity on the sale of 100% stake in Ridgewood Group, leading water desalination and treatment group companies, to a joint venture between Hassan Allam Utilities and Almar Water Solutions. Our work included leading on the drafting and negotiation of the Egyptian law Transaction Documents.
