Nesma joined Sharkawy & Sarhan in July 2015. She has diverse experience in general corporate & commercial matters; power & renewables; and mergers & acquisitions.

Nesma has advised EBRD, IFC and PROPARCO on the financing of several solar PV projects under the Round Two of the Feed in Tariff program.

Her work spanned across, development, financing, construction and currently in operation phases of the projects. Nesma has advised several developers on solar PV distributed generation projects, her work included negotiations with counterparties and drafting of project agreements.

Nesma has recently advised on two of the first limited recourse financings by a DFI for solar PV distributed generation projects and advised EBRD, AfDB and OPEC Fund on the financing of a 200MW solar plant under the BOO scheme in Kom Ombo, Aswan.

In addition, Nesma has advised several power projects EPC contractors (including Senvion, Shanghai Electric and TBEA) on EPC activities and market entry.

  • Advising EBRD on the financing to be granted to October Dry Port Company, a special purpose vehicle established for the development and construction of the 6th of October Dry Port project, the first Public Private Partnership (PPP) project in this sector, to be operated under a BOT scheme. The project was awarded to the consortium between El Sewedy Electric, SLP for Logistic Properties and Schenker Egypt.
  • Working on a number of mergers & acquisitions including Americana Group’s sale of 100% of its shares in the Greenland Group, her work spanned across the due diligence phase and the drafting of Egyptian Law agreements for the transaction. Nesma has also taken part in advising on Attijariwafa’s acquisition of Barclays Egypt and Nestle’s acquisition of the Bonjorno brand.
  • Advising a number of multinational clients on general corporate, commercial and employment matters including, several companies in the WPP Group, Dell Technologies, OSI Systems, ThyssenKrupp and OLX Egypt.
  • Advising Centamin PLC on the engineering, procurement and construction contract (EPC Contract) for a 36MW solar farm and 7.5 MW battery-energy storage system at its Sukari Gold Mine in Egypt. The Sukari solar plant will be the largest hybrid solar project at an off-grid mining operation globally and is expected to reduce diesel fuel consumption at Sukari by an estimated 22 million litres per annum and lower carbon emissions by an estimated 60,000 tonnes CO2-e per annum.
