Ashraf Ihab is a founding partner and deputy chair of the Executive Committee of Zulficar and Partners Law Firm. A practicing attorney for more than 30 years, he is specialized in banking and finance. Banking and Finance: A practicing attorney for more than 30 years, Ashraf is specialized in banking and finance. He drafted, negotiated and concluded numerous syndicated loan agreements, credit facility agreements, debt rescheduling agreements and related security documents and assisted major banks in the preparation of banking standard forms as well as Islamic finance agreements. Moreover, he handled transactions pertaining to issuance of bonds, securitization, factoring and increase or reduction of the capital of Egyptian companies. He provided legal advice to banks, financial institutions and other industries on banking law, Central Bank of Egypt regulations and Islamic finance financial leasing law, mortgage finance and micro-finance law and handled the required procedures for obtaining governmental approvals for the establishment of microfinance entities and issuance of licenses, and drafting all the relevant agreements and documentation. He represents leading banks in Egypt in litigation and settlement of disputes.

Merger & Acquisition: Since the early 90’s, under the Egyptian government’s privatization program, Ashraf was involved in the privatization of several Egyptian public sector companies. Representing sellers or buyers, he handled numerous merger and acquisition transactions for private sector companies in Egypt, conducting legal due diligence and carrying out all the required procedures for the transfer of shares before the Capital Market Authority, as well as drafting shareholders’ agreements and sale of shares agreements. 

Capital Market Law: Ashraf has handled major capital market transactions, such as issuance of bonds for Egyptian companies, increase or reduction of the capital of the companies, and factoring.  

Corporate Law:Ashraf advised clients on corporate law matters including the establishment of companies, drafting and negotiating the related agreements and managing the required procedures before the General Authority for Investment, the Commercial Registry Authority and the Capital Market Authority. 

Labor Law: Ashraf provided clients with comprehensive legal advice on labor law and social insurance law. This includes without limitation, drafting employment contracts, internal regulations and labor policies for companies as well as preparing early retirement schemes and/or downscaling, and supervising the application of such schemes. Additionally, he advised on and prepared employees’ stock option plan(s) for various Egyptian companies. He also supervised the litigation pertaining to Labor law issues.

Litigation: At different stages in his career, Ashraf worked as a litigator for many banks and industrial, tourism and construction companies.
