Last year the firm advised a Brazilian project development company as it entered into a $350 million construction agreement with the Guatemalan government. The firm led negotiations of an earn-out agreement, where a local minority shareholder acquired full interest in a Central American subsidiary of TNS, a market research company. The deal required an analysis of the corporate restructuring of a Central American corporation, and an analysis of a prior joint venture agreement.
