Debt side work was the real driver for the firm last year and highlights included acting for Armtec Holdings on its $150 million offering of senior secured notes and advice to Tembec Industries on its private offering of $255 million of senior secured 11.25% notes. This was followed by an offer to exchange those notes for fully registered and fully tradable notes.
Another highlight saw Dale Skinner acting for the Dealer Group on Cenovus Energy's C$1.5 billion ($1.4 billion) MTN programme.
On the equity side John Sabine and Sander Grieve led the team acting for Andean Resources on its $234.5 million offer of public shares.

Toronto based Peter Murphy was one of the firm's busiest partners and last year he acted for JPMorgan Chase as the head of a syndicate which provided a $1.23 billion financing to Quad/Graphics for its purchase of World Colour Press. Murphy also advised HSBC Canada on a $200 million financing provided to a major accounting firm.
On another $1 billion + deal, Murphy worked alongside Charles Rich in providing advice to Bank of Montreal on a $1.275 billion loan to a major oil and gas company.

The FMC M&A team led by William Jenkins and Laurence Geringer is focused mainly on mining and natural resources based work.
Sander Grieve was the firm's most active partner last year, advising on two notable mining acquisitions. In one he advised Consolidated Thompson Iron Mines on its acquisition of Cliffs Natural Resources. The $4.9 billion deal was one of the largest completed in the Canadian market last year. On the sell side, Grieve also acted as Candian counsel to Andrean resources on its proposed acquisition by Goldcorp.
In the energy sector, Jeff Scobie took the lead as the firm acted for the Sasol Group on its agreement to acquire a 50% stake in Talisman Farrell Creek's shale gas assets in Montney.
Aware from its core area, the team also advised Teledyne Telecommunications on its acquisition of DALSA by a plan of arrangement.

On the domestic front, the team last year advised the Fraser Transportation Group on the design-build joint venture for the construction of the South Fraser Perimeter Road. On the bank side the team also advised the Royal Bank of Canada as the administration agent for the financing of the York Energy Centre, a 450MW gas power plant in York Ontario.
The team also picked up work outside of Canada as Ron Matheson, James Clare, Matt Peters and Chris Turney acted for the Dundee Corporation and Sprott Resource Lending as the mandated lead arranger of a $417 million financing package for the development of the Tonkolili iron ore project in Sierra Leone.

CCAA (Companies' Creditors Arrangements Act) related mandates were the order of the day for the team as they were for most firms in the market. Carrying on from last year, the team provided further advise to the Official Committee of Unsecured Lenders in the high profile Nortel Case. Michael Wunder, Ryan Jacobs and Alex MacFarlane led the team on the deal that was valued at $6 billion.
Company side mandates were also on the cards including work for Medican Holding on its CCAA proceedings and Jameson House Properties, the developer of the Jameson House Project on its CCAA restructuring. The latter deal was one of the few successful real estate transactions to be completed under CCAA.
